Bylaws

These bylaws set forth the governing rules of the Wyoming Democratic Party and guide the Party’s structure, procedures, and operations. They were last reviewed, amended, and approved by action of the Wyoming Democratic Party State Central Committee on June 6, 2026.

ARTICLE I — DEFINITIONS AND ABBREVIATIONS

Section 1 — General

A. General Rule
  1. These definitions apply throughout these Bylaws. When an abbreviation is introduced, the full name appears first, followed by the abbreviation in parentheses. The abbreviation may then be used throughout the document.

Section 2 — Defined Terms and Abbreviations

A. Party Bodies & Organizations
  1. Wyoming Democratic Party (WDP) — The statewide organization of Democrats governed by these Bylaws.
  2. Democratic State Convention (DSC) — The statewide Convention of Democrats held in even-numbered years.  DSC is the supreme governing body of the WDP.
  3. State Central Committee (SCC) — The governing body of the WDP when the DSC is not in session.
  4. State Executive Committee (SEC) — The governing body of the SCC when the SCC is not in session.
  5. County Democratic Convention (CDC) — The Convention held in each county as required by Wyoming law.
  6. County Central Committee (CCC) — The governing body of the Democratic Party in each county when the CDC is not in session.
  7. County Executive Committee (CEC) — The administrative, implementary, and operational body of the CCC and its policies.
  8. Democratic National Committee (DNC) — The national governing body of the Democratic Party. 
B. Plans, Rules, and Authorities
  1. Delegate Selection Plan (DSP) — The plan approved by the SCC and the DNC governing the selection of National Delegates.
  2. Robert’s Rules of Order Newly Revised (Robert’s Rules) — The parliamentary authority used by the WDP unless inconsistent with Wyoming law, these Bylaws or the DSP.
  3. Wyoming Election Code (WEC) — Title 22 of Wyoming Statutes governing elections and political parties.
C. Elected or Appointed Roles
  1. National Committeewoman / National Committeeman (NCW / NCM) — WDP’s representatives to the DNC.
  2. State Executive Director (SED) — The chief administrative officer of the WDP.
  3. State Compliance Officer (SCO) — The officer responsible for ensuring compliance with state and federal campaign finance laws.
D. General Terms
  1. Democrat — A person registered as a Democrat to vote in Wyoming.
  2. Chair — Unless otherwise specified, refers to the presiding officer of the relevant body (State Chair, County Chair, or Convention Chair).
  3. Vice Chair — Unless otherwise specified, refers to the Vice Chair of the relevant body (State Vice Chair or County Vice Chair).
  4. Precinct Committee Person (PCP) – Unless otherwise specified, refers to a voting member of the relevant county’s CCC.
ARTICLE II — MEMBERSHIP AND ORGANIZATION OF THE WDP

Section 1 – Membership

A. Eligibility
  1. Any person registered as a Democrat in Wyoming is a member of the WDP.

Section 2 – Rights of Members

A. Rights
  1. Members may participate in Democratic conventions, caucuses, and meetings as provided by these Bylaws.
  2. Members may hold party office if otherwise eligible.

Section 3 – Structure and Procedure of the WDP

A. Components of the WDP
  1. The WDP consists of:
    1. The Democratic State Convention (DSC)
    2. The State Central Committee (SCC)
    3. The State Executive Committee (SEC)
    4. County Democratic Conventions (CDC)
    5. County Central Committees (CCC)
    6. County Executive Committees (CEC)
    7. State Caucuses recognized under Article VIII, which includes:
      1. WDP Women’s Caucus
      2. WDP Labor Caucus
      3. WDP Minorities & Allies Caucus
      4. Young Democrats of Wyoming
B. Procedures of the WDP
  1. Voting:
    1. Proxy voting shall not be permitted except where explicitly authorized by these Bylaws.
    2. When a vote is conducted by written ballot, whether paper or electronic, ballots must be signed to be counted and shall be preserved for forty-five (45) days.
  2. Quorum:
    1. A majority of delegates to a Convention shall constitute a quorum. For the SCC meetings, CCC meetings, committees, and subcommittees, the members present at the duly called meeting shall constitute a quorum unless otherwise specified. 
    2. At the opening of SCC or CCC meetings, a roll call of the members shall be made, and a record shall be made of those present in person or proxy.
  3. Minority Reports:
    1. Upon the vote of ten percent (10%) of the members of a committee or delegates of a convention, a minority report shall be included with the committee’s report or in the official minutes.
  4. Amendment of Bylaws:
    1. These Bylaws shall be revoked, amended, or added to by action of a State Convention and on a vote of 2/3 of the delegates present and voting. Any such revocations, amendments, or additions shall be certified by the State Chair and the State Secretary and be filed with the Secretary of State within thirty (30) days after the adjournment of said Convention. Any proposed amendment to the Bylaws shall be summarized in the call for the Convention meeting.
    2. Amendments may also be adopted by a two‑thirds vote of the SCC when the DSC is not in session, unless otherwise restricted by Wyoming law.
    3. Proposed amendments must be submitted in writing to the SCC or DSC at least ten (10) days prior to the meeting at which they will be considered, unless emergency circumstances require shorter notice.
  5. Effective Date of Bylaws:
    1. These Bylaws shall take effect immediately upon adjournment of the DSC or SCC at which they are adopted, unless otherwise specified by the DSC or SCC.

Section 4 – Authority of the WDP

A. General Authority
  1. The WDP shall operate in accordance with these Bylaws, the DSP, Wyoming law, and the DNC Charter and Bylaws.
  2. In the event of a conflict between these Bylaws and state or federal law, the law shall prevail. 
  3. In the event of a conflict between these Bylaws and the DSP, the DSP shall govern matters relating to delegate selection.
  4. In the event of a conflict between these Bylaws and the DNC Charter and Bylaws, the DNC Charter and Bylaws shall prevail.
  5. The legally applicable provisions of Wyoming law relating to political committees and conventions are a part of these Bylaws by reference.  
ARTICLE III — COUNTY DEMOCRATIC PARTY CENTRAL COMMITTEE ORGANIZATION

Section 1 — County Central Committee (CCC): Composition, Elections, Residency, Vacancies

A. Composition
  1. The CCC consists of Precinct Committeewomen and Precinct Committeemen elected at the regular biennial Primary Election, or appointed/elected to fill vacancies as provided by law.
  2. PCPs must be registered Democrats residing in the precinct they represent.
  3. If a precinct fails to elect a committeeperson, or a vacancy occurs, the CCC may elect a registered Democrat residing in that precinct to fill the vacancy, consistent with W.S. 22‑4‑103. Appointments shall be reported to the County Clerk within ten (10) days.
  4. For voting purposes, any voting member of the CCC must have been elected or appointed at a prior meeting of the CCC.

Section 2 — Meetings and Notice

A. Meetings
  1. The CCC shall meet and organize at times and places determined by the County Chair, consistent with Wyoming law.
  2. Special meetings may be called by the County Chair or by twenty‑five percent (25%) of duly elected or appointed CCC members.
B. Notice Requirements
  1. The County Chair shall provide at least five (5) days’ notice to all CCC members for any regular meeting.
  2. Notice shall be given by email, and/or may additionally be posted on the county party’s official website and official social media accounts.
  3. For special meetings, the County Chair shall make every reasonable effort to notify all members by email, and/or may additionally post notice on the county party’s website and social media.

Section 3 — County Executive Committee (CEC): Organization and Elections

A. Organizational Meeting
  1. The CCC shall meet in odd‑numbered years, at least thirty (30) days prior to the WDP DSC & SCC meeting, at a time and place determined by the County Chair.
B. Election of Officers, Qualifications, and Terms of Office
  1. At this meeting, the CCC shall elect the following County Party officers, who together constitute the CEC:
    1. County Chair
    2. County Vice Chair
    3. County Treasurer
    4. County Secretary
    5. State Committeeman
    6. State Committeewoman
  2. The County Vice Chair shall self‑identify as a different gender than the County Chair, unless no such person is willing to serve.
  3. County officers need not be PCPs, but must be qualified Democratic voters residing in the county.
  4. Officers serve for a term of two (2) years, or until successors are elected and qualified.

Section 4 — Proxies

A. Proxy Rules
  1. Members of the CCC may deputize, by signed proxy, substitutes to act for them at any meeting. Substitutes must be registered Democrats residing in the county.
  2. A CCC member may vote their own vote and one (1) proxy from the same county.
  3. A proxy holder who is not a CCC member may cast only one vote and may not vote additional proxies.

Section 5 — Powers and Duties of the CCC and EC

A. County Central Committee (CCC)
  1. The CCC has the governing authority of the Democratic Party within the county, consistent with state law and these bylaws.
  2. Only PCPs may vote on county party business.
B. County Executive Committee (CEC)
  1. The CEC conducts administrative and operational business between CCC meetings, subject to the policies and decisions of the CCC.
  2. The County Chair, County Vice Chair, State Committeeman, and State Committeewoman retain full voting rights at meetings of the SCC regardless of CCC membership.

Section 6 — County Party Officers: Duties and Vacancies

A. County Chair
  1. Serves as the chief executive officer of the county Democratic Party.
  2. Presides at all CCC and CEC meetings.
  3. Ensures that CCC and CEC decisions are carried out.
  4. Directs county‑level political and organizational activity.
  5. Serves as custodian of all county party funds.
  6. Authorizes expenditures of county party funds; no funds may be spent without the County Chair’s authorization, unless otherwise provided by CCC‑adopted rules.
  7. Ensures accurate financial records are maintained and reports provided when requested.
  8. May sign checks of the county party.
  9. Shall not authorize deficit spending.
B. County Vice Chair
  1. Performs the duties of the County Chair in the County Chair’s absence or disability.
  2. At the discretion of the County Chair, provides organizational support to County Party efforts, which may include (but is not limited to):
    1. Candidate Recruitment;
    2. Election or Candidate Support; 
    3. Fundraising;
    4. Communications;
    5. Volunteer Engagement; 
    6. Party-Building Initiatives.
  3. Performs additional duties as assigned by the County Chair.
C. County Treasurer
  1. Maintains accurate financial records and performs all duties required by law.
  2. Assists the County Chair in fundraising, reporting, and financial compliance.
  3. Signs checks as authorized.
  4. May only disburse County Party Funds with the authorization of the County Chair.
  5. Provides required financial filings and reports.
  6. Furnishes bond if required by the CCC.
D. County Secretary
  1. Keeps minutes of all CCC and CEC meetings.
  2. Maintains county party records.
  3. Ensures notice of meetings is provided as required.
  4. Performs additional duties as assigned by the County Chair.
E. State Committeewoman and Committeeman 
  1. Presides over CCC meetings in the event of the absence of the County Chair and County Vice Chair.
  2. Attends SCC meetings and reports to CCC regarding the activities of the WDP.
F. Vacancies
  1. If the office of County Chair becomes vacant, the County Vice Chair becomes County Chair for the remainder of the term.
  2. Vacancies in any other county office are filled by election at the next CCC meeting.
  3. When replaced, all CEC members are required to give access to any accounts and other relevant materials under their control to the Chair of the CEC.

Section 7 — PCPs Duties and Expectations

A. Duties and Expectations
  1. PCPs are expected to participate in the work of the CCC, including attending regular meetings and engaging with voters in their precincts.
B. Non‑Participation Defined
  1. A PCP is considered non‑participating if they:
    1. Miss six (6) consecutive regular CCC meetings, or
    2. Miss all regular CCC meetings within twelve (12) months.
  2. Either condition may trigger a resignation process under Section 8 of this Article.

Section 8 — Resignation of PCPs

A. Self-Resignation Communicated
  1. A PCP may resign by communicating their resignation to the County Chair, who shall then fill such vacancy pursuant to W.S. 22‑4‑103.  
B. Resignation By Default
  1. A PCP may be considered as having resigned if they are deemed non-participating by a vote of the CCC, as defined by Section 7B of this Article.
C. Due Process Requirement
  1. If deemed non‑participating by the CCC, a PCP may be officially removed only by vote of the CCC, and only after due process.
D. Notice of Non-Participation and Removal Proceeding
  1. The PCP who has been deemed non-participating, as defined by Section 7B of this Article, shall receive written notice by email (or by mail or text if email is not available) at least ten (10) days before the meeting at which removal will be considered.
  2. Notice may additionally be posted on the county party’s official website and official social media accounts, but email delivery is required.
  3. The notice must include:
    1. The specific grounds for proposed removal 
    2. The date, time, and location of the meeting
    3. The member’s right to speak before the vote
E. Opportunity to Respond
  1. The PCP may respond to the proceeding in person at the meeting or in writing.
F. Vote Required
  1. Removal of a PCP, as defined by the process under Sections 7 and 8 of this Article, requires a two‑thirds (2/3) vote of CCC members present and voting.
  2. Upon removal, a vacancy is declared and filled under W.S. 22‑4‑103.
ARTICLE IV — STATE CENTRAL COMMITTEE (SCC)

Section 1 – Membership

A. Composition
  1. The SCC consists of:
    1. County Chairs
    2. County Vice Chairs
    3. State Committeeman and State Committeewoman from each county
    4. SEC members
    5. Caucus Chairs
    6. Democratic Members of the Wyoming State Legislature
    7. Democratic Wyoming Constitutional State Officers
    8. Democratic Members of the Wyoming U.S. Senate delegation
    9. Democratic Members of the Wyoming U.S. Congressional delegation
B. Ex Officio Members
  1. The SED and SCO may serve as non-voting SCC advisors at the discretion of the State Chair.
  2. Additional advisors may be designated by the State Chair.

Section 2 – General Authority

A. Authority
  1. The SCC directs the affairs of the WDP between DSC meetings.
  2. The SCC may adopt rules and resolutions consistent with the DNC Rules, these Bylaws and Wyoming Law.
  3. The SCC may delegate authority to the SEC.
  4. The SCC ensures compliance with the DSP, DNC Rules, and the WEC.
  5. The SCC determines the date and place of each DSC.

Section 3 – Meetings

A. Regular Meetings
  1. The SCC shall meet at least twice each year. 
  2. The State Chair calls meetings, sets dates, locations and draft agenda.
B. Special Meetings
  1. May be called by the State Chair or 20% of SCC members.
  2. Notice must include the purpose.
C. Notice Requirements
  1. At least ten (10) days’ notice unless emergency circumstances require shorter notice.
D. Remote Participation
  1. Remote participation counts toward a quorum and voting. 
E. Quorum Requirement
  1. A quorum shall be a majority of SCC members.

Section 4 – Voting

A. Voting Rights
  1. One vote per member.
B. Proxy Voting (allowed at County Party and State Party Meetings only)
  1. A Member may deputize a registered Democrat residing in their county as a substitute via signed proxy.
  2. A member may vote their own and one additional proxy from the same county.
  3. A non-member proxy holder has one vote and cannot vote other proxies.
C. Alternates (allowed at State Conventions only)
  1. Counties may designate alternates from PCPs.
  2. Alternates have full voting rights when seated.

Section 5 – Vacancies

A. Filling Vacancies
  1. County-level SCC vacancies are filled by the CCC.
  2. If the State Chair position becomes vacant, the State Vice Chair calls an SCC meeting within sixty (60) days to elect a new State Chair. If the State Vice Chair wants to run for State Chair, the State Vice Chair will resign to ensure gender equity.  
  3. If the State Vice Chair resigns, the SCC elects a new State Chair and State Vice Chair. If the State Vice Chair does not resign, the SCC shall elect a State Chair of a different gender than that of the State Vice Chair.
  4. If any other elective office becomes vacant, the State Chair appoints a replacement, subject to approval by the SCC.

Section 6 – Organizational Meeting

A. Timing
  1. Held in odd-numbered years in the year after a Presidential election year.
B. Purpose
  1. To elect State Officers.
  2. To adopt rules for the term.
  3. Any other required business.
C. Notice
  1. The State Chair shall provide notice of the time and place of meeting to each SCC member not later than ten (10) days prior to the meeting.

Section 7 – Elections

A. Officer Elections
  1. Officers (State Chair, State Vice Chair, State Treasurer, and State Secretary) are elected at the organizational meeting. Officers must be qualified Wyoming voters and registered Democrats. The State Chair and State Vice Chair must be different genders.
  2. Each officer serves a four-year term, which begins upon election and ends when a successor has been elected.
B. Certification
  1. After State Party elections, the State Chair and State Secretary certify the names of party officers to the Wyoming Secretary of State and the Secretary of the DNC. 
C. Democratic Caucuses of the Wyoming State House and Senate
  1. Each caucus elects one representative to the SCC and informs the State Chair of their choice.
  2. If no such election is held, the Democratic leader of the chamber may appoint a member of the Democratic Caucus as the representative of the SEC. Otherwise, the Caucus Chair shall be the representative to the SEC.
D. Rules
  1. Elections follow Robert’s Rules unless otherwise provided.

Section 8 – State Officers & NCW / NCM

A. State Chair
  1. Duties:
    1. Presides over all SCC and SEC meetings and sees that their orders and resolutions are executed.
    2. Hires and determines the salary of the SED with the advice and consent of the SEC.
    3. Hires and determines the salary of the SCO with the advice and consent of the SEC.
    4. Coordinates state party campaigns subject to direction from the DSC or SCC.
    5. Prepares a yearly budget with the assistance of the State Finance Subcommittee.
    6. Is custodian of the WDP funds and authorizes the expenditure of such funds with the assistance of the SED and State Treasurer.
    7. Is responsible for federal and state election reports with the assistance of the SEC and SCO.
    8. Prepares and files financial reports with the assistance of the State Treasurer and SCO.
    9. May appoint a parliamentarian to assist with the SCC meetings.
    10. Helps solicit financial support for the WDP from the DNC.
B. State Vice Chair
  1. Duties:
    1. Performs the State Chair’s duties during any absence or disability of the State Chair.
    2. Assists the State Chair in carrying out the functions, responsibilities, and strategic priorities of the WDP.
    3. At the discretion of the State Chair, provides organizational support to WDP efforts, which may include (but is not limited to):
      1. Candidate Recruitment;
      2. Election or Candidate Support; 
      3. Fundraising;
      4. Communications;
      5. Volunteer Engagement; 
      6. Party-Building Initiatives.
    4. Helps solicit financial support for the WDP from the DNC.
C. State Treasurer
  1. Duties:
    1. Assists the State Chair with the custody and expenditures of WDP funds.
    2. Assists the State Chair and SCO with preparing all required reports as necessary.
    3. Assists the State Chair with preparing yearly budgets and financial reports.
    4. May sign WDP checks.
D. State Secretary
  1. Duties:
    1. Keeps minutes of meetings.
    2. Furnishes copies of minutes to members.
    3. Performs other duties as requested by the State Chair.
E. NCW and NCM
  1. Duties:
    1. Serve as members of the DNC.
    2. Act as liaisons between the WDP and DNC.
    3. Help solicit financial support from the DNC for the WDP.
    4. Makes a report to the SCC on each DNC or DNC regional meeting that they attend.

Section 9 – SEC

A. Membership
  1. State Chair.
  2. State Vice Chair.
  3. State Treasurer.
  4. State Secretary.
  5. NCW.
  6. NCM.
  7. Wyoming Senate Democratic Caucus Chair.
  8. Wyoming House of Representatives Democratic Caucus Chair.
  9. Chair of each Caucus or accredited organization recognized by the SCC.
  10. SED and SCO may be invited to attend part of or a whole SEC meeting at the discretion of the State Chair as non-voting advisors.
B. Duties 
  1. Approves yearly budget.
  2. Assists the State Chair with the State Chair’s duties, as specified in Section 8A of this Article.

Section 10 – Subcommittees

A. State Finance Subcommittee
  1. Membership:
    1. State Chair.
    2. SED.
    3. State Treasurer (Chair of the Subcommittee).
    4. Other members appointed by the State Chair.
  2. Duties:
    1. Prepares a budget each year and submits it to the SEC.
    2. Prepares other financial statements as necessary and submits them to the SCC.
B. State Message and Issues Subcommittee
  1. Membership:
    1. One member of the SEC.
    2. One member from a Democratic Caucus of the Wyoming Legislature.
    3. Three or more members of the SCC or the Caucuses of the Wyoming Legislature appointed by the State Chair.
  2. Duties:
    1. Helps formulate the message of the WDP.
    2. Makes recommendations for communicating the WDP’s message.
    3. Helps the SCC consider proposals for party positions on issues.
    4. Helps prepare guidance on issues for the Democratic candidates.          
C. State Bylaws Subcommittee
  1. Membership:
    1. One Wyoming member of the DNC.
    2. Three or more other members appointed by the State Chair and approved by the SCC.
    3. Subcommittee membership will reflect the diversity of Wyoming.
  2. Duties:
    1. Reviews and proposes revisions to the Bylaws.
D. State Delegate Selection Plan Subcommittee
  1. Membership:
    1. One Wyoming member of the DNC.
    2. Two or more other members appointed by the State Chair and approved by the SCC.
    3. Subcommittee membership will reflect the diversity of Wyoming.
  2. Duties:
    1. Drafts the DSP which is used for electing the Wyoming Delegation to the DNC Conventions.
    2. Ensures compliance with the DSP.
E. State Fundraising Subcommittee
  1. Membership:
    1. State Chair.
    2. SED.
    3. State Treasurer.
    4. Two or more other people appointed by the State Chair.
  2. Duties:
    1. Oversees the fundraising efforts of the WDP.
F. State Candidate Recruitment and Mobilization Subcommittee
  1. Membership:
    1. One Wyoming Democratic elected official at any level.
    2. One SCC member.
    3. One SEC member.
    4. Two to four other persons, who are registered Wyoming Democrats, appointed by the State Chair.
  2. Non-Voting Advisory Members:
    1. State Chair.
    2. SED.
  3. Subcommittee Chair:
    1. Selected by the subcommittee.
    2. Must be a member of the SEC or SCC.
    3. May be reappointed.
    4. Will serve from appointment until January 1 of next odd-numbered year.
  4. Meetings:
    1. Will meet at least once quarterly each year.
  5. Duties:
    1. Will establish and work toward measurable candidate recruitment and Democratic campaign engagement goals for each Election Cycle by:
      1. Working each Election Cycle to identify, recruit, and encourage qualified  Democratic candidates for legislative, statewide, and federal offices;
      2. Collaborating with WDP County Parties to support recruitment of Democratic candidates for legislative and local offices, deferring to WDP County Parties as necessary and reasonable;
      3. Developing and implementing short- and long-term strategies to track and strengthen the Democratic bench across Wyoming;
      4. And, in coordination with the SEC, assisting in developing and distributing candidate training materials, campaign readiness resources, and volunteer engagement programs in time for each Election Season.
    2. Will report at each SCC meeting on recruitment progress, strategic goals, and party development efforts.
    3. Will submit recruitment goals to the SEC and SCC no later than June 15 of each odd-numbered year, and engagement goals submitted no later than February 1 of each even-numbered year.
  6. Definitions:
    1. Election Cycle means the two-year period beginning January 1 of odd-numbered Years and ending December 31 of the following even-numbered Years.
    2. Election Season means the period beginning on the first day of candidate filing and ending on the date of the general election.

Section 11 – Code of Conduct

A. Prevention Measures
  1. Members are required to review and adhere to WDP harassment and other training materials when available. 
B. Misconduct
  1. Harassment as defined under Wyoming Statute 6-2-506 and Title VII of the Civil Rights Act of 1964.
  2. Disrespect toward a WDP Member(s), which includes repeated use of derogatory language toward and/or verbal harassment of fellow Members.
  3. Misrepresenting the WDP publicly for the purpose of self-promotion.
  4. Intentionally damaging the WDP’s reputation or undermining its mission.
C. Neglect of Duty
  1. Not following procedures.
  2. Abusing or avoiding responsibilities of office.

Section 12 –  Removal Procedures for Code of Conduct Violations

A. Application and Voting Requirements
  1. Any WDP SCC member, officer, appointed official, or committee member may be removed from their position for Misconduct and/or Neglect of Duty, as defined in Section 11 of this Article.
  2. Upon such a finding by two-thirds of the SEC members and the subsequent approval of such a finding by two-thirds of the SCC members.
B. Allegation
  1. Any allegation of misconduct or neglect of duty must be made in writing to the SEC and to the member who is the subject of the allegation.
C. Right to Respond
  1. The person who is the subject of the allegation must be given an opportunity to respond to the allegation.
D. SEC’s Finding
  1. The SEC’s finding must be made in writing to the SCC and to the member that is the subject of the allegation.
E. SCC’s Approval and Removal
  1. Upon the SCC’s approval of the SEC’s finding of misconduct and/or neglect of duty by a member, such member shall be removed from their position in the WDP.
  2. Upon removal of a state committeeman or woman a vacancy is declared and filled under W.S. 22‑4‑112.
ARTICLE V — COMMON RULES FOR DEMOCRATIC CONVENTIONS

Section 1 — Purpose

A. Scope of Article
  1. This Article establishes rules that apply to all Democratic conventions conducted under these Bylaws, including the DSC and CDCs. 
  2. Section 8 of this Article applies exclusively to the Democratic National Convention.
  3. Additional rules specific to each convention appear in Articles VI and VII.

Section 2 — Convention Authority

A. General Authority
  1. Each convention is the highest governing authority of the Democratic Party at its respective level for the duration of the convention.
  2. Conventions may adopt resolutions, elect officers, and conduct business assigned by these Bylaws, the DSP, or the WEC.

Section 3 — Delegates and Alternates

A. Eligibility
  1. Delegates and alternates must be registered Democrats in the jurisdiction they represent, unless otherwise permitted by Wyoming law.
  2. Delegates hold their seats until the next State Convention cycle, when new delegates are elected at their County Convention. 
B. Certification
  1. Delegates and alternates shall be certified by the appropriate CCC or the State Party, as applicable.
C. Seating of Alternates
  1. Alternates may be seated when a delegate is absent.
  2. Alternates shall have full voting rights when seated.

Section 4 — Quorum

A. Quorum Requirement
  1. A quorum for any convention shall consist of a majority of the certified delegates registered at the time the convention is called to order.

Section 5 — Voting

A. Voting Rights
  1. Each seated delegate shall have one vote.
  2. Proxy voting is not permitted unless expressly authorized by Wyoming law.

Section 6 — Rules of Procedure

A. Parliamentary Authority
  1. Conventions shall be governed by Robert’s Rules, except where inconsistent with these Bylaws or the DSP.
B. Adoption of Rules
  1. Each convention may adopt supplemental rules for its proceedings, provided they do not conflict with these Bylaws or the DSP.

Section 7 — Committees

A. Convention Committees
  1. Conventions may establish committees as needed, including but not limited to:
    1. Credentials Committee
    2. Rules Committee
    3. Platform or Resolutions Committee
    4. Nominations Committee
  2. Committee membership and procedures shall be determined by the convention or its organizing authority.

Section 8 — Accessibility

A. Participation
  1. Conventions shall be conducted in a manner that ensures full and equal participation by all Democrats, and remote participation may be authorized by the SCC. 
ARTICLE VI — THE DEMOCRATIC STATE CONVENTION (DSC)

Section 1 — Purpose and Authority

A. Purpose
  1. The DSC is the highest deliberative and governing authority of the WDP during its session.
  2. The DSC is convened to:
    1. Adopt, amend, or reaffirm the WDP Platform.
    2. Consider and adopt resolutions.
    3. Elect delegates and alternates to the Democratic National Convention (DNC), when applicable.
    4. Elect presidential electors, when applicable.
    5. Elect NCW and NCM during presidential years.
      1. Terms begin and end at the conclusion of the Democratic National Convention. 
    6. Conduct any business assigned by these Bylaws, the DSP, or state or federal law.
    7. Provide direction to the SCC and the Party as a whole.
  3. Special State Conventions may be held at the call of the State Chair for the purposes of amending the bylaws or considering other emergency business.
    1. The provisions on convening regular conventions and their procedure shall be followed for special conventions as far as possible.
B. Authority
  1. The DSC derives its authority from these Bylaws.
  2. The DSC shall operate in accordance with:
    1. The Rules of the DNC.
    2. The WDP DSP (in presidential years).
    3. These Bylaws.
    4. The Rules of the Convention as adopted by the DSC.

Section 2 — Convention Officers

A. Temporary Chair
  1. The State Chair shall call the DSC to order and preside until the Convention Chair is elected.
  2. If the State Chair is absent or unable to serve, the State Vice Chair shall preside.
  3. If neither is available, the DSC shall designate a Temporary Chair.
B. Convention Chair
  1. The delegates to the DSC shall elect a Convention Chair as the first order of business following the Credentials Report.
  2. The Convention Chair shall:
    1. Preside over all proceedings of the DSC.
    2. Enforce the Rules of the Convention.
    3. Maintain order and decorum.
    4. Rule on questions of procedure, subject to appeal by the Convention.
    5. The authority of the Convention Chair ends upon adjournment of the DSC.
C. Appointed Officers
  1. The Convention Chair shall appoint the following officers:
    1. Convention Secretary
    2. Parliamentarian
    3. Sergeant‑at‑Arms
    4. Timekeepers
    5. Tellers
    6. Any assistants or aides needed for the conduct of the Convention
  2. Appointed officers serve at the pleasure of the Convention Chair.

Section 3 — Delegates and Alternates

A. Eligibility
  1. Delegates and alternates to the DSC must be registered Democrats in Wyoming, unless otherwise permitted by law or the DSP.
  2. No person may serve as both a delegate and an alternate.
B. Selection
  1. Delegates and alternates shall be elected by the CDCs.
  2. Delegates and alternates shall be allocated according to Section 5 of this Article.
  3. Delegates and alternates shall be elected in a manner that ensures openness, fairness, and full participation.
C. Certification
  1. Delegates and alternates shall be certified by the CCCs.
  2. Certification shall be submitted to the State Party by the deadline established in the DSP or by the SCC.
  3. Failure to certify delegates may result in the seating of provisional delegates, subject to the Credentials Committee.

Section 4 — Committees of the DSC

A. Standing Committees
  1. The DSC shall have the following committees unless otherwise required by the DSP:
    1. Credentials Committee
    2. Rules Committee
    3. Platform Committee
    4. Resolutions Committee
    5. Nominations Committee (when applicable)
B. Committee Appointment
  1. Members of Convention Committees shall be appointed by the State Chair unless otherwise required by the DSP.
  2. Each committee shall elect its own Chair unless otherwise specified.
C. Committee Duties
  1. Credentials Committee
    1. Verifies delegate eligibility.
    2. Resolves challenges.
    3. Issues the final credentials report.
  2. Rules Committee
    1. Proposes temporary and permanent rules of the Convention.
    2. Resolves procedural questions referred to it.
  3. Platform Committee
    1. Drafts and recommends the proposed State Party Platform.
  4. Resolutions Committee
    1. Reviews and recommends resolutions submitted in accordance with Convention rules.
  5. Nominations Committee
    1. Screens and recommends candidates for presidential electors or other offices elected by the DSC.
D. Committee Reports
  1. Committee reports shall be presented to the DSC for adoption, amendment, or rejection.

Section 5 — Delegate Allocation

A. Vote‑Based Allocation
  1. Each county shall be entitled to one (1) delegate for each 600 votes cast for national and statewide Democratic candidates (excluding candidates for the State Senate and State House of Representatives) at the preceding Presidential election.
  2. One (1) additional delegate shall be allocated for any votes in excess of a multiple of 600.
  3. The number of votes cast shall be determined by taking the average of the votes received by such candidates.
B. Population‑Based Allocation
  1. Each county shall be entitled to one (1) delegate for each 3,000 residents as determined by the most recent federal census.
  2. One (1) additional delegate shall be allocated for any number of residents in excess of a multiple of 3,000.
C. Minimum Representation Rule
  1. In the event that the allocation formula in subsections A and B of this Section results in zero delegates for a county, that county shall nevertheless be entitled to two (2) delegates and one (1) alternate to the DSC.
  2. A County Convention may double the number of delegates thus allocated, provided that each delegate shall be entitled to one‑half (½) vote.
  3. Votes shall not otherwise be apportioned.
D. Doubling of Delegates
  1. A County Convention may double the number of delegates allocated under subsections A and B of this Section, provided that each delegate shall be entitled to one‑half (½) vote.
  2. Votes shall not otherwise be apportioned.

Section 6 — Notice and Call of DSC

A. Notice Requirements
  1. Notice and call of the DSC shall be issued in accordance with this Section:
    1. The State Chair shall call the DSC by filing notices in the offices of the Secretary of State and each County Clerk not later than twenty (20) days before the date of the convention.  
    2. The State Chair shall notify all delegates and alternates elected at the County Conventions at least thirty (30) days prior to the DSC. 
  2. Notice shall include:
    1. The date, time, location of the DSC; 
    2. Credentialing procedures; 
    3. The total number of delegates and alternates apportioned to, and elected by, each county; 
    4. Summarization of any proposed amendments to the WDP Bylaws; 
    5. The proposed convention agenda; 
    6. Any deadlines for submission of resolutions or platform planks and;
    7. Other such information as deemed necessary.

Section 7 —  Voting

A. Voting Rules
  1. Unless otherwise specified, all actions of the DSC shall be decided by a majority vote of delegates present and voting.
  2. Proxy voting is prohibited.
  3. Voting may be conducted by voice vote, standing vote, roll call, or ballot as determined by the Convention Chair or by the Rules of the Convention.

Section 8 — Order of Business

A. Order of Business
  1. The order of business shall include, at minimum:
    1. Call to Order
    2. Credentials Report
    3. Election of the Convention Chair
    4. Adoption of the Rules of the Convention
    5. Platform Committee Report
    6. Resolutions
    7. Elections (if applicable)
    8. Other business as authorized by these Bylaws
    9. Adjournment

Section 9 — Reporting Requirements

A. Timeline and Content of Reporting
  1. Within thirty (30) days following adjournment, the State Chair shall transmit to the SCC:
    1. The final credentials report
    2. The adopted Platform
    3. Any resolutions adopted by the DSC
    4. Any elections conducted and their results
    5. Any recommendations or directives issued by the DSC
ARTICLE VII — THE COUNTY DEMOCRATIC CONVENTION (CDC)

Section 1 — Purpose

A. Purpose of the CDC
  1. The CDC is the highest governing authority of the Democratic Party within the county during its session.
  2. The CDC shall:
    1. Elect delegates and alternates to the DSC.
    2. Consider and adopt county platform planks or resolutions.
    3. Conduct business assigned by these Bylaws, county rules, or the DSP.
  3. The CDC shall be held no fewer than 30 days prior to the DSC 

Section 2 — Convention Officers

A. Temporary Chair
  1. The County Chair shall call the CDC to order and preside until the Convention Chair is elected.
B. Convention Chair
  1. The delegates to the CDC shall elect a Convention Chair.
  2. The Convention Chair presides over all proceedings of the CDC.
  3. The authority of the Convention Chair ends upon adjournment of the CDC.
C. Appointed Officers
  1. The Convention Chair shall appoint:
    1. Convention Secretary
    2. Parliamentarian
    3. Sergeant‑at‑Arms
    4. Any assistants or aides needed for the conduct of the convention
  2. Appointed officers serve at the pleasure of the Convention Chair.

Section 3 — Delegates and Alternates

A. Eligibility
  1. Delegates and alternates to the CDC must be registered Democrats in the county, unless otherwise permitted by Wyoming law.
B. Allocation and Selection
  1. Delegates and alternates shall be allocated and selected in accordance with the DSP and county rules.
C. Certification
  1. Delegates and alternates shall be certified by the CCC.

Section 4 — Committees of the CDC

A. Convention Committees
  1. The CDC may establish committees as needed, including but not limited to:
    1. Credentials Committee
    2. Rules Committee
    3. Platform or Resolutions Committee
    4. Nominations Committee
  2. Committee membership and procedures shall be determined by the CCC or the CDC.

Section 5 — Business of the CDC

A. Required Business
  1. The CDC shall:
    1. Elect delegates and alternates to the DSC.
    2. Consider platform planks or resolutions submitted in accordance with convention rules.
    3. Conduct any business required by these Bylaws, county rules, or the DSP.

Section 6 — Adjournment

A. Adjournment of the CDC
  1. The CDC shall adjourn upon completion of its business.
  2. All authority granted to convention officers ends upon adjournment.
ARTICLE VIII — STATE CAUCUSES

Section 1 — Definition and Purpose

A. Definition
  1. A State Caucus is a statewide organization within the WDP representing a community of interest, identity, demographic, or shared concern that is historically or currently under‑represented in Party affairs.
  2. Caucuses are constituent parts of the SCC and are governed by SCC decisions.
  3. Caucuses may not take official positions on legislation, resolutions, or other matters that contradict positions adopted by the SCC. Caucuses may, however, call upon the SCC or the WDP to take action.
B. Purpose
  1. To participate in the policy decisions of the WDP by proposing resolutions, platform planks, and bylaw amendments to the appropriate committees.
  2. To encourage participation and leadership development within the caucus’s community of interest.
  3. To expand and strengthen the WDP by promoting inclusion, engagement, and representation.
  4. To make the Party more welcoming and relevant to individuals who identify with the caucus’s goals.

Section 2 — Requirements for Recognition

A. Eligibility for Recognition
  1. A caucus may be recognized by the SCC upon submission of:
    1. A statement of purpose.
    2. Proposed bylaws or operating rules.
    3. A list of at least ten (10) registered Democrats who support the caucus.
    4. Caucus Sponsors must be SCC members and must constitute at least five percent (5%) of the full SCC membership.
  2. Caucuses established on or before June 6, 2026, are exempt from initial certification requirements until their next recertification cycle.
B. Approval for Recognition
  1. Initial certification requires a two‑thirds (⅔) vote at the State Convention.
  2. Recertification requires a majority vote of the SEC prior to the first meeting of the State Convention.
  3. If the SEC denies recertification, the caucus is decertified unless overturned by a two‑thirds (⅔) vote of the State Convention.

Section 3 — Membership

A. Eligibility
  1. Membership in a caucus is open to any registered Democrat who supports the caucus’s purpose and meets any additional requirements established by the caucus.
  2. Caucuses must extend full voting rights to all eligible members.

Section 4 — Officers and Governance

A. Required Officers
  1. Each caucus shall elect at least the following officers:
    1. Caucus Chair
    2. Caucus Vice Chair
    3. Caucus Secretary
  2. Additional officers may be established by caucus rules.
B. Leadership Requirements
  1. The Caucus Chair must be a member of the SCC and, by virtue of certification, shall serve on the SEC.
    1. A non-SCC member may become a Caucus Chair upon approval of the State Chair and the SEC. 
  2. Caucuses must elect new executive leadership every two (2) years, aligned with the State Convention cycle (e.g., February 2027, February 2029).
C. Operating Rules
  1. Caucuses shall adopt bylaws or operating rules consistent with these Bylaws, the WDP Platform, and Wyoming law.
  2. Caucus rules must be filed with the WDP.

Section 5 — Activities

A. Authorized Activities
  1. Caucuses may:
    1. Hold meetings, forums, or events.
    2. Propose platform planks, resolutions, or bylaw amendments.
    3. Recruit and support candidates.
    4. Provide training or educational programs.
    5. Engage in outreach to their constituencies.

Section 6 — Certification, Recertification, and Decertification

A. Guidelines
  1. The Bylaws Committee shall promulgate Guidelines for Certification, Recertification, and Decertification, including required documentation, timelines, and evaluation criteria.
B. Application Process
  1. Applications must be submitted in writing on a form obtained from the State Secretary of the SCC.
  2. Applications must be submitted at least forty‑five (45) days before the first meeting of the State Convention in the year of certification or recertification.
  3. The Bylaws Committee shall review applications, identify deficiencies, and include recommendations in its report to the State Convention.

Section 7 — Term of Certification

A. Duration
  1. Certification of a caucus extends until the end of the following State Convention.

Section 8 — Suspension or Revocation

A. Grounds for Revocation
  1. The SCC may suspend or revoke recognition of a caucus for:
    1. Violations of these Bylaws.
    2. Failure to file required reports.
    3. Conduct inconsistent with the values or mission of the WDP.
    4. Revocation requires a two‑thirds (⅔) vote of the SCC.
ARTICLE IX — GENERAL PROVISIONS

Section 1 — Prohibition on Federalization

A. County Parties
  1. No CCC may establish, register, operate, or participate in a federal political committee under the Federal Election Campaign Act (FECA).
  2. All federal fundraising, expenditures, reporting, and compliance activities must be conducted exclusively through the SEC.
  3. Except as prohibited and restricted by law, County Parties are allowed to accept funds from organizations dedicated to supporting Democratic causes.
B. State Caucuses
  1. No recognized State Caucus may establish, register, operate, or participate in a federal political committee.
  2. Caucuses must conduct all federal activity through the WDP’s State Party Federal Committee.
C. Prohibited Activities
  1. County parties and caucuses shall not:
    1. Accept contributions regulated by federal limits or source restrictions.
    2. Make expenditures for federal candidates or federal election activity for candidates and races outside of Wyoming.
    3. File reports with the Federal Election Commission (FEC).
    4. Use federal funds for any purpose.
  2. Any federal activity must be coordinated through the WDP in compliance with FECA and FEC regulations.
D. Enforcement
  1. Violations of this Section may result in corrective action by the SCC, including suspension of recognition or other remedies permitted by these Bylaws.
  2. The SCC may adopt additional rules to ensure compliance with federal law.

Section 2 — Legislative & County Office Vacancies

A. Call of Meeting
  1. Common Rules
    1. Within fifteen (15) days of the appropriate State or County governing body notifying the public of a vacancy, a meeting shall be called to consider candidates to fill the vacancy. 
    2. Sufficient notification of the meeting and its purpose shall be made to the interested public via reasonable local media outlets.
  2. Legislative Vacancies
    1. The State Chair, in consultation with the appropriate County Chair(s), shall call a meeting of the County Chair(s), state committeepersons, and PCPs affected by the vacancy. 
    2. The State Chair shall chair the meeting.
  3. County Vacancies
    1. The County Chair shall call a meeting of the PCPs affected by the vacancy. 
    2. The County Chair shall chair the meeting.
B. Qualifications for Candidates
  1. Any registered Democrat residing in the vacant district and wishing to be considered for the vacancy must either appear in person at the called meeting or send a written statement for presentation to the State or County Chair.
  2. Each candidate will be given the opportunity to present their qualifications and may be questioned by those present at the meeting.
C. Voting Process
  1. After fair time has been given to candidates to speak and answer questions, the State or County Chair should appoint a tally committee to count the ballots cast.
  2. The State or County Chair should instruct the present voting members on the voting process:
    1. All votes are by signed ballot.
    2. Only PCPs affected by the vacancy are permitted to vote.
    3. On the first ballot, voting members will select up to three candidates. Candidates receiving zero votes shall be taken out of consideration.
    4. Subsequent ballots shall eliminate the candidate receiving the fewest votes until three candidates remain.
    5. In accordance with state law, the State or County Chair will submit the final list of three candidates to the Board(s) of County Commissioners affected by the vacancy, who will then make a final selection.
    6. All ballots shall be preserved for at least thirty (30) days.

Section 3 — Other Party Administration Matters

A. Pre-Nomination Endorsement Prohibition
  1. Prohibition
    1. Except as provided by law and these bylaws, no candidate for public office shall have the endorsement of the WDP, any of its officers in their official capacity, or any of its organizational parts, employees, committees, or county parties until the candidate has been officially nominated by the Democratic Primary through victory in the primary election.
  2. Notable Write-In Primary Challenges
    1. The endorsement prohibition applies if the Democratic Primary contest has only one candidate who has filed to run for office but another Democratic candidate is running a “notable” write-in primary challenge. 
    2. To be considered “notable”:
      1. The write-in candidate must have provided a written notice of their intention to run as a write-in Democratic candidate to:
        1. the Chair(s) of the County Party(ies) wherein the office sought exists (for legislative, county, or municipal races), or;
        2. the State Chair (for statewide or federal races)
    3. The write-in candidate must have secured and delivered to the appropriate Chair(s) an authentic list of signatures of Democratic voters within the constituency of the office sought, equal to the following number:
      1. At least 10% of the number of registered Democrats within the write-in candidate’s precinct.
  3. Exceptions
    1. Exceptions to the prohibition are only allowed as provided by law and in the following cases:
      1. If only one candidate has officially filed to run for office, leaving their name as the only one on the Democratic Primary election ballot (provided that there is no notable write-in candidate challenge).
      2. If the Democratic Primary contest has no Democrat who has filed to run for office (leaving the primary election ballot blank) but a write-in candidate has informed the appropriate Chair(s) of their intention to run as a write-in candidate. In this case, the candidate does not need to present signatures of support.
  4. Presidential Endorsements
    1. Except as provided by law, unless the race is uncontested, or until adjournment of the relevant DSC, the endorsement prohibition as specified in this Section shall apply to presidential candidates. 
    2. This shall not preclude pledged delegates to a candidate from making statements in support of the candidate to whom they are pledged.
  5. Personal Endorsements
    1. Any Democrat may make a personal endorsement of any candidate at any time. However, no individual may use their official Democratic Party title, capacity, or resources to provide unbalanced, disproportionate, or inequitable support to a candidate prior to their official nomination.

Section 4 — Electronic Communication, Records, and Transparency

A. Use of Electronic Methods
  1. Notices, certifications, filings, and other official communications required by these Bylaws may be transmitted electronically unless otherwise prohibited by law.
  2. Electronic records shall be considered valid and official for all purposes under these Bylaws.
B. Access to Records
  1. Minutes of SCC meetings, financial reports, and other official records of the WDP shall be made available to SCC members upon request, except where confidentiality is required by law.
  2. The SCC may adopt additional transparency policies consistent with these Bylaws.
ARTICLE X — PUBLIC INTEREST & PARTICIPATION

Section 1 — An Open Party

A. Open Participation
  1. All public meetings at all levels of the WDP shall be open to all Democrats without discrimination based on race, gender, age, color, creed, national origin, religion, ethnic identity, economic status, sexual orientation, or philosophical persuasion. 
  2. No test of membership or oath shall be required that has the purpose or effect of supporting or condoning such discrimination.
B. Voter Participation
  1. The WDP shall support the broadest possible voter registration and participation consistent with these principles.
C. Affirmative Action
  1. The WDP shall adopt and implement affirmative action programs to encourage full participation of underrepresented groups, including minority groups, women, and youth, in delegate selection and all party affairs.
D. Goals
  1. Such programs shall seek participation reflective of the Democratic electorate, without the use of mandatory quotas, except that gender balance requirements shall not constitute a violation of this provision.

Section 2 — Public Notification and Accessibility of Meetings

A. Notice of Meetings
  1. The time, place, and purpose of all WDP and County Party meetings shall be publicized in a timely manner sufficient to inform interested persons and encourage Democratic participation. 
  2. Meetings shall be held in publicly accessible locations and at times reasonable to maximize attendance.
  3. The time, place, and rules of all Caucuses, Conventions, and other meetings involved in the delegate selection process shall be publicized adequately to encourage the participation of minority groups.
B. Content of Notice
  1. Notice of meetings shall include the meeting details and, where applicable, a description of any elections, appointments, or nominations to be considered.
C. Methods of Notice
  1. Notice of meetings may be provided through newspapers, electronic communications, online posting, news releases, and other reasonable means. 
  2. In order to achieve circulation throughout the county, CCC meetings shall attempt meeting publication through newspapers, if possible.
D. Timing
  1. SCC members shall receive written notice of state meetings at least ten (10) days in advance. 
  2. Notice of public WDP meetings shall be made not less than five (5) days prior to the meeting, where practicable.

Section 3 — Transparency of Party Procedures & Bylaws

A. Procedures and Qualifications
  1. The WDP shall make publicly available, in a timely manner, descriptions of procedures and qualifications for WDP offices and representative positions to ensure fair opportunity for participation at all levels of the organization.
B. Bylaws Availability
  1. The State Chair shall make the Party Bylaws available upon request, shall make them accessible for the public, and shall ensure filing of the Bylaws with the Wyoming Secretary of State.
